1.1 Acceptance. By using our website or completing a purchase, you agree to these Terms. If you do not agree, do not use the website or buy our services.

1.2 Business use. Our services are offered for business purposes only. If you buy on behalf of a company or other organization, you confirm that you have authority to bind it to these Terms, and "you" includes that organization.

1.3 Changes to these Terms. We may update these Terms by posting a new version on our website with a new effective date. Changes apply only to purchases made after the new effective date. They do not change the terms of a purchase you have already completed.

3. Our Services and Engagement Letters

3.1 Scope. The scope of a One-Time Service is the description shown on our website, sales materials, or proposal at the time you buy it. The scope of Recurring Services is set out in your Engagement Letter.

3.2 Engagement Letters control. Recurring Services require a signed Engagement Letter before work begins. If these Terms and an Engagement Letter conflict, the Engagement Letter controls for that engagement.

3.3 Timing. Any timeline we give, such as delivering assessment findings within 7 to 10 business days, starts when we have received payment, your completed intake, and the system access we need. Timelines are estimates, not guarantees.

3.4 Independent contractor. We provide the Services as an independent contractor. Nothing in these Terms creates an employment, partnership, or agency relationship.

4. Payments, Cancellations, and Refunds

4.1 ALL SALES ARE FINAL. All fees for all Services are non-refundable once your Purchase is Complete. This applies to the Financial Health Assessment, all other One-Time Services, and all Recurring Services. By completing a purchase, you confirm that you have read and agree to this Section 4.

4.2 Payment. Fees for One-Time Services are due in full before work begins. Fees for Recurring Services are billed as stated in your Engagement Letter. You authorize us and our payment processor to charge the payment method you provide. Fees do not include any applicable taxes, which you are responsible for.

4.3 One-Time Services. Once your Purchase is Complete, fees for One-Time Services are not refundable for any reason. This includes a change in your business needs, a decision not to proceed, or failure to provide the access, information, or cooperation we need to do the work.

4.4 Recurring Services. Fees for any billing period that has already been charged are not refundable. We do not issue full or partial refunds for unused time or services within a billing period. You may cancel future billing at any time, as described in Section 5 and your Engagement Letter.

4.5 Limited exceptions. Despite Sections 4.1 through 4.4, we will refund the affected amount if:

  1. we cancel a Service before performing it;
  2. you were charged in error or charged more than once for the same Service; or
  3. a refund is required by applicable law.

4.6 Price changes. We may change our prices for future purchases at any time. Price changes for Recurring Services are handled as described in Section 5.4.

5. Recurring Services and Automatic Renewal

5.1 Automatic renewal. Recurring Services renew automatically at the end of each billing period and are charged to your payment method on file until you cancel. Your Engagement Letter states the billing frequency and amount.

5.2 How to cancel. You may cancel future billing at any time by:

  • emailing hello@thecashflowcfo.com;
  • calling 619-494-5234; or
  • using the same method you used to sign up.

Cancellation takes effect at the end of the notice period in your Engagement Letter. If your Engagement Letter has no notice period, cancellation takes effect at the end of the current billing period. We will confirm your cancellation in writing.

5.3 Changes to recurring fees. We will give you clear written notice of any increase in recurring fees at least 30 days before it takes effect, so you have time to cancel.

6. Client Responsibilities and System Access

6.1 Information you provide. You agree to provide complete, accurate, and timely information. Our work relies on that information, and we do not independently verify it unless your Engagement Letter says we will. We are not responsible for errors that result from incomplete or inaccurate information.

6.2 System access. Some Services require access to your accounting software, such as QuickBooks Online, and related systems. We will request the lowest level of access needed, such as accountant or read-only access, and use it only to perform the Services. You may revoke our access at any time, but doing so may prevent us from completing the work and does not entitle you to a refund. We will stop using our access when the engagement ends, and we ask that you remove it then.

6.3 Your decisions. You are responsible for your business decisions, including whether and how to act on our findings and recommendations.

7. Nature of Our Advice

7.1 Not an audit. Unless your Engagement Letter says otherwise, our Services, including the Financial Health Assessment, are advisory. They are not an audit, review, or other attest engagement and do not provide any assurance on your financial statements.

7.2 Not legal or investment advice. We do not provide legal or investment advice. We provide tax advice only when your Engagement Letter expressly includes it. You should consult a qualified attorney or investment adviser where appropriate.

7.3 No guaranteed results. We do not guarantee any particular financial outcome, savings, or result. Figures we describe from past engagements, such as typical cost savings or the number of issues identified, reflect past client experience and do not promise what we will find for you.

7.4 Website content. Articles, tools, podcasts, and other content on our website are general information only. They are not advice for your specific situation and do not create a client relationship.

8. Confidentiality and Data Security

8.1 Confidentiality. We will keep your non-public business and financial information confidential and use it only to provide the Services. We may disclose it only with your consent, to our personnel and contractors who need it for the Services and are bound by confidentiality obligations, or when required by law, court order, or professional obligations.

8.2 Security. We use reasonable administrative, technical, and physical safeguards to protect your information. No system is completely secure, and we cannot guarantee that unauthorized access will never occur.

8.3 Testimonials. We will not identify you as a client or publish a testimonial from you without your written permission.

8.4 Privacy Policy. Our Privacy Policy explains how we collect and use personal information through our website. If your Engagement Letter has its own confidentiality terms, those terms control for that engagement.

9. Intellectual Property and Website Use

9.1 Our materials. We own all content on our website and all methods, templates, tools, and know-how we use to provide the Services. These Terms do not transfer any of those rights to you.

9.2 Your deliverables. Once you have paid in full, you may use the reports and other deliverables we prepare for you for your own internal business purposes. You may share them with your advisors, lenders, and investors, but you may not resell or publish them.

9.3 Website use. You may view and use our website for your own business purposes. You may not:

  • republish, sell, rent, or sublicense material from our website;
  • copy, reproduce, or redistribute our content except as allowed by law;
  • frame our web pages or use our logo without our written permission; or
  • use our website in any unlawful way or in a way that could damage, disable, or impair it.

9.4 Links. You may link to our home page in a way that is fair and not misleading and does not suggest we endorse you. Our website may link to third-party sites. We do not control those sites and are not responsible for their content.

10. Disclaimers and Limitation of Liability

10.1 Standard of care. We will perform the Services with reasonable care, consistent with generally accepted standards for similar services.

10.2 Website disclaimer. Our website and its content are provided "as is" and "as available." We do not warrant that the website will be uninterrupted, error-free, or always up to date.

10.3 Exclusion of certain damages. To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost revenue, even if advised that they were possible.

10.4 Liability cap. To the fullest extent permitted by law, our total liability for any claim relating to the Services or these Terms will not exceed the fees you paid us for the specific Service giving rise to the claim during the 12 months before the claim arose.

10.5 What is not limited. Nothing in these Terms limits liability for fraud, willful injury, gross negligence, willful misconduct, violation of law, or any other liability that cannot be limited under applicable law, including California Civil Code §1668.

11. Indemnification

You agree to defend, indemnify, and hold harmless The Cash Flow CFO and its owners, employees, and contractors from third-party claims, losses, and reasonable legal fees arising from:

  • inaccurate or incomplete information you provided to us;
  • your misuse of our deliverables or website; or
  • your violation of these Terms or applicable law.

This section does not apply to the extent a claim results from our own negligence or misconduct.

12. Governing Law and Disputes

12.1 Governing law. These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules.

12.2 Talk to us first. If you have a dispute or a concern about a charge, please contact us at hello@thecashflowcfo.com or 619-494-5234 before filing a claim or disputing the charge with your card issuer. Both parties agree to try in good faith to resolve the dispute informally for at least 30 days.

12.3 Chargebacks. If you dispute a charge with your card issuer for a Service covered by Section 4, we may provide the issuer with these Terms and your acknowledgment of them at checkout.

13. General Terms and Contact

13.1 Entire agreement. These Terms, our Privacy Policy, and any Engagement Letter are the entire agreement between you and us about their subject matter.

13.2 Severability. If any part of these Terms is found unenforceable, the rest remains in effect, and the unenforceable part will be enforced to the fullest extent allowed.

13.3 No waiver. Our failure to enforce any part of these Terms is not a waiver of our right to enforce it later.

13.4 Assignment. You may not assign these Terms without our written consent. We may assign them to a successor in a merger, acquisition, or sale of our business.

13.5 Events beyond our control. We are not responsible for delays caused by events beyond our reasonable control, such as outages of your software providers, natural disasters, or government action.
